ABOUT THE SPEAKERS

 

Keith T. Darcy
Senior Adviser, Deloitte & Touche; Chairman of the Global Center for Ethics and Social Responsibility, St. Thomas Aquinas College

 

Keith T. Darcy is Senior Adviser to Deloitte & Touche LLP’s governance, regulatory and risk strategies’ (GR&RS) enterprise compliance practice. Deloitte’s GR&RS practice provides consultative services to assist organizations and their boards in developing sustainable governance, compliance and risk management programs by helping to identify, monitor, mitigate, and manage their enterprise risks.

 

Prior to joining Deloitte as Senior Adviser, Darcy served nine years as Executive Director of the Ethics & Compliance Officer Association (ECOA). ECOA was the largest association exclusively for ethics and compliance executives with over 1,500 members in six continents and cutting across all business sectors. In that capacity, Darcy helped organizations worldwide address a wide variety of complex compliance, governance and regulatory challenges. In addition, he has worked actively with governments, multilateral organizations and non-governmental organizations to help them address issues of corruption and malfeasance.

 

Darcy has combined a 40-year career as a senior executive and corporate director with his passion for education, business ethics, compliance risk management, corporate governance and organizational leadership. Darcy is on the board of the Notre Dame Deloitte Center for Ethical Leadership, South Bend, IN, and he is Chairman of the Global Center for Ethics and Social Responsibility at St. Thomas Aquinas College (STAC) in Sparkill, NY. He previously served on the Board of Trustees of STAC. From 2003 to year-end 2013 Darcy served as Chairman of the Board of the Better Business Bureau Foundation in NY, where he chaired the Audit Committee. Previously Darcy served on the board of directors of E*Trade Bank and its affiliates where he chaired the Nominating and Governance Committee, and served on the Audit Committee. He also served on the board of directors of New York National Bank, where he served on the Compliance Committee.

 

Since 1994, Darcy has been teaching Ethics and Leadership in the Executive Programs at The Wharton School, University of Pennsylvania. He previously served as Associate Dean and Distinguished Professor of Business at Georgetown University’s McDonough School of Business. In March 2011, Darcy was named the first Provident Bank Charitable Foundation Chair of Corporate Responsibility at St. Thomas Aquinas College in Sparkill, NY. In March 2017, Darcy was named the first Executive-in-Residence for the Poe Center of Ethics at the University of Florida, Warrington School of Business. From 2008–2012, he served on the Global Anti-Corruption Council of the World Economic Forum headquartered in Davos, Switzerland, and currently serves on the Steering Committee of The Chair of Excellency in Law and Business Ethics at the Universite’ Cergy School of Law in Cergy du Pontois, France. From 2005–2013, he was an Executive Fellow of the Ethics Resource Center in Washington, D.C., and is Executive Fellow (Emeritus) of the Center for Business Ethics at Bentley University in Waltham, MA.

 

In 2005, Darcy was appointed to the blue ribbon Committee on Food Marketing and the Diets of Children and Youth sponsored by the Institute of Medicine of the National Academies of Science. The findings were presented to congress and have resulted in a wide range of private and public sector initiatives to address the crisis of childhood obesity.

 

Darcy holds a B.S. degree from Fordham University's College of Business, an M.B.A from the Hagan Graduate School of Business at Iona College, and has done additional post-graduate study at New York Theological Seminary. He holds honorary doctorates from Manhattanville College and St. Thomas Aquinas College.

 

Mr. Darcy has contributed his deep experiences to numerous books and is widely published, quoted and referenced in newspapers and magazines.  Over the years, he has been a keynote speaker and panelist in hundreds of venues worldwide. In December 2012, he spoke at the United Nations on the occasion of International Anti-Corruption Day, and in November 2013, Darcy co-authored the Seoul Declaration issued by the UN Global Compact. In December 2014 he was master of ceremonies for the gala event celebrating the tenth anniversary of the tenth principle of the UN Global Compact on anti-corruption. In October 2017 Darcy spoke at Harvard University, Kennedy School of Government, Carr Center for Human Rights Policy on the role of compliance, ethics and culture in mitigating corruption risk.

Peridot Asia Advisors is a strategic transactions advisory firm.  Peridot advises clients seeking to make acquisitions or investments, find partners for strategic alliances or raise capital in cross-border transactions involving the Asia-Pacific region, mainly China.  The firm advises clients on market-opening and market-expansion strategies and assists clients in conducting due diligence and negotiating dispute resolution.  Peridot’s clients include Fortune 100 companies headquartered in the US, Europe and the Middle East, private equity and hedge funds interested in investing in China and emerging growth companies in Asia seeking to globalize their operations.

 

In his legal practice, Larry Darby advises clients in international securities, banking and mergers and acquisitions law matters.  He has represented many industrial and natural resources companies and large financial institutions and private equity financial sponsors in establishing operations and the purchase and sale of businesses in the United States and overseas.  He has advised global companies in listing both equity and debt securities in the United States and other global capital markets and has assisted many technology and emerging growth companies in venture capital financings and public offerings in the United States.  In addition, he has assisted clients in restructurings of several large financial institutions, and he regularly advises broker-dealers and private equity and hedge funds on federal securities and derivatives regulation.

 

Before founding Peridot, Larry was a partner in the law firm Kaye Scholer LLP and was resident in that firm’s Hong Kong and New York City offices. Before that, he was a founding partner of the law firm Howard, Darby & Levin, with offices in New York City and Melbourne, Australia. He also practiced with Sullivan & Cromwell in New York City.

 

Larry is currently Chair of the Committee on the Asia-Pacific Region of the New York State Bar Association International Section and a member of the Executive Committee of the International Section.  He is a member of the Corporate Governance Committee of the American Bar Association’s Business Law Section and Contributor for Auditing and Accounting for the ABA’s publication Corporate Governance Insights as well as a member of the Securities Law Opinion Committee of the Business Law Section.
